Delisting from the Australian Stock Exchange

Yellow Brick Road Holdings Limited (‘YBR’) has been removed from the Official List of the ASX on Monday, 27 November 2023 under Listing Rule 17.11, at the request of YBR, after security holders resolved to remove YBR from the Official List.

 

Summary of Events

  • 14 Sept 2023 – YBR requested a trading halt in relation to an application to be removed from the official list of the ASX.
  • 18 Sept 2023 –  YBR announces that it has formally applied to the ASX requesting its removal from the official list of the ASX in accordance with ASX Listing Rule 17.11. The announcement contained:
    • Reasons for seeking removal from the Official List.
    • Conditions of ASX’s agreement to Delist YBR.
    • Consequences of Delisting for the Company and its shareholders.
    • Arrangements for shareholders to sell shares.
    • Arrangements for shareholders to buy more shares.
    • Timetable.
    • Remedies shareholders may pursue.
  • 25 Sept 2023 – Notice of Extraordinary General Meeting for 24 October, distributed to shareholders.
  • 24 Oct 2023 – Extraordinary General Meeting was held with 89% in favour of the resolution to delist from the ASX.
  • 23 Nov 2023 – The securities of YBR were suspended from quotation under Listing Rule 17.2, at the request of YBR, to facilitate its removal from the official list of ASX .
  • 27 Nov 2023 – YBR was removed from the Official List of the ASX under Listing Rule 17.11, at the request of YBR, after security holders resolved to remove YBR from the Official List.
